End User License Agreement — Chat Relay for Jira

Draft — pending owner approval. The legal identity and remaining legal placeholders must be completed before these terms become effective.

1. Agreement and service

These terms govern the customer's use of Chat Relay for Jira (the “App”), a Forge app that routes selected Jira issue updates to Google Chat incoming webhooks. By installing or using the App, the customer agrees to these terms and the applicable Atlassian Marketplace, Jira, and Google Workspace terms. Where Marketplace terms control billing or the app license, those Marketplace terms apply.

2. License and account

Subject to an active Marketplace trial or subscription and compliance with these terms, {{LEGAL_NAME}} grants the customer a limited, non-exclusive, non-transferable right to use the App for the customer's internal business purposes during the subscription or trial. The customer must maintain the Atlassian accounts and permissions needed to use Jira and the App.

3. Customer responsibilities

The customer is responsible for:

The App excludes issues with a security level and does not fetch comments or worklogs, but these safeguards do not replace the customer's review of the rule scope and message fields.

4. Fees, trial, and cancellation

The price, billing interval, trial length, applicable taxes, renewal, and cancellation terms are those shown at the time of purchase in Atlassian Marketplace. Atlassian Marketplace manages subscription billing. The current proposal is a 30-day trial followed by monthly billing at the listed tier price, subject to final Owner and Marketplace approval. Cancel or manage a subscription through Atlassian Marketplace. Refund requests are handled under the applicable Marketplace policies and process; {{LEGAL_NAME}} does not promise a refund outside those rules.

5. Privacy and platform services

The Privacy Policy describes the App's data handling. The App runs on Atlassian Forge and sends configured message fields to Google Chat through the customer's webhook. The customer also remains subject to Atlassian and Google Workspace terms.

6. Availability, delivery, and support

The App depends on Atlassian Forge, Jira, Google Chat, Workspace policy, network availability, and customer-managed webhook settings. Messages may be delayed, rejected, retried, or expire from the queue. Eligible failures are retried and queued events are retained for up to 24 hours under the current design. {{LEGAL_NAME}} does not guarantee uninterrupted service, exact delivery time, or that every third-party service will be available.

Support is provided at support@darkwoodapps.com. No response-time commitment applies unless separately agreed in writing.

7. Restrictions

The customer must not misuse the App, interfere with its operation, attempt unauthorized access, use it to violate law or third-party rights, or send data to a destination the customer is not authorized to use. The customer may not reverse engineer the App except to the extent such restriction is prohibited by applicable law.

8. Suspension and termination

The customer may stop using the App by removing its connections, cancelling the Marketplace subscription, or uninstalling the App. {{LEGAL_NAME}} may suspend or terminate access if reasonably necessary to address non-payment, abuse, a security threat, legal obligations, or a material breach. On termination, access ends; data deletion and retention follow the Privacy Policy and Atlassian platform behavior.

9. Warranty disclaimer

To the extent permitted by applicable law, the App is provided on an “as available” basis. {{LEGAL_NAME}} disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent those disclaimers are lawful. Nothing in these terms excludes a warranty or right that cannot legally be excluded.

10. Limitation of liability

Legal review required before publication. Subject to non-excludable rights and liabilities under applicable law, {{LEGAL_NAME}}'s aggregate liability arising from the App will not exceed {{LIABILITY_CAP}}. Neither party is liable for indirect or consequential loss to the extent permitted by law. The Owner must select a lawful cap, exclusions, and any customer indemnity before publication; do not publish this section with unresolved placeholders.

11. Changes and governing law

{{LEGAL_NAME}} may update these terms as the App changes, with the effective date shown above. The governing law, courts, notice, and dispute process are {{GOVERNING_LAW_AND_VENUE}}. This section requires legal review for the provider's jurisdiction and customer markets.
